These Terms and Conditions ("Terms") govern your access to and use of the Contease platform operated by ContentAI Hub LTD (RC-8601374), a company registered in Lagos, Nigeria ("we," "us," or "our").
1. Acceptance of Terms
By creating an account, accessing, or using Contease, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our services. Your continued use of the platform constitutes acceptance of any modifications to these Terms.
2. Eligibility and Account Registration
2.1 Age Requirements:
You must be at least 13 years old to use Contease. If you are between 13 and 18 years old, you may only use our services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
2.2 Account Responsibility:
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
3. Services and Subscriptions
3.1 Service Description:
Contease is an AI-powered content generation platform that helps users create social media content for products and brands. We utilize third-party AI services including OpenAI, Google AI, and Fal.ai to generate content based on your inputs.
3.2 Free Credits:
New users receive 5 free credits upon registration. These credits are for trial purposes and may not be transferred, sold, or exchanged for cash.
3.3 Paid Plans:
Subscription fees are billed in advance on a recurring basis (monthly or annually) in Nigerian Naira (NGN) or US Dollars (USD). Payment is processed through Paystack or Stripe. You can upgrade, downgrade, or cancel your subscription at any time through your account settings.
3.4 Auto-Renewal:
If you opt-in to auto-renewal, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged using your saved payment method.
4. Refund Policy
We offer a 15-day refund policy from the date of purchase, provided that at least 50% of your purchased credits remain unused. Refund requests must be submitted to [email protected]. Refunds are processed within 5-10 business days and issued to your original payment method. Free credits are non-refundable.
5. Intellectual Property and Content Ownership
5.1 AI-Generated Content:
You retain full ownership of all content generated using Contease, including AI-generated text, images, and videos. You may use this content for personal or commercial purposes without restriction, subject to Section 5.3 below.
5.2 User-Uploaded Content:
You retain ownership of all content you upload to Contease, including product images, brand information, and other materials. You represent and warrant that you have all necessary rights to upload such content.
5.3 Discovery Feed License:
When you publish content to the Discover feed, you grant us a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to host, use, distribute, display, reproduce, modify, adapt, and publicly perform your content solely for the purpose of operating and promoting the Contease platform. This license terminates when you delete the content from the Discover feed.
5.4 Marketing Use:
You grant us permission to use your content for case studies, testimonials, user-generated content campaigns, and other marketing purposes. We will seek additional consent before using your content in major marketing campaigns.
5.5 Platform Ownership:
The Contease platform, including all software, designs, text, graphics, logos, and other materials (excluding user content), are owned by ContentAI Hub LTD and protected by Nigerian and international intellectual property laws.
6. AI Model Training
You may opt-in to allow us to use your generated content to train and improve our AI models. This is entirely optional and can be managed in your account settings. By default, your content is not used for model training. We do not share your data with third-party AI providers for their model training purposes.
7. Prohibited Uses and Content
You agree not to use Contease to create, upload, publish, or share content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any party
- Contains adult content, explicit sexual material, or promotes violence
- Violates any applicable local, state, national, or international law
- Impersonates any person or entity or falsely states or misrepresents your affiliation with a person or entity
- Contains viruses, malware, or other harmful computer code
- Promotes hate speech, discrimination, or violence against individuals or groups
8. Account Termination and Suspension
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you:
- Engage in fraudulent activities or payment disputes
- Create or share illegal or prohibited content
- Abuse free credits through multiple accounts or other manipulative practices
- Violate any provision of these Terms
- Attempt to gain unauthorized access to our systems or other users' accounts
Upon termination, your right to use Contease will immediately cease, and we may delete your account and all associated data.
9. Content Moderation
We moderate content published to the Discover feed to ensure compliance with these Terms and applicable laws. We reserve the right to remove any content that violates our policies or is reported by other users. Content moderation decisions are made at our sole discretion.
10. Referral Program
10.1 Eligibility:
Registered users in good standing may participate in our referral program by sharing their unique referral link.
10.2 Commission Structure:
You earn a 20% commission on subscription payments made by users who sign up through your referral link. Commissions are calculated on the initial purchase and recurring subscription renewals.
10.3 Payment Thresholds:
Referral commissions are paid out when your account balance reaches ₦50,000 (NGN) or $20 (USD). Payments are processed within 30 days of reaching the threshold.
10.4 Promotional Restrictions:
You may not engage in spam, unsolicited advertising, or misleading marketing practices when promoting your referral link. Prohibited activities include: paid search advertising using our brand name, trademark bidding, cookie stuffing, creating fake accounts, or incentivizing sign-ups with false promises. Violation of these restrictions may result in forfeiture of commissions and account termination.
11. AI Content Accuracy and Liability
11.1 No Guarantee of Accuracy:
While we strive to provide accurate and high-quality AI-generated content with 99.9% accuracy, we do not guarantee the accuracy, completeness, or reliability of any content generated by our platform. You are responsible for reviewing and verifying all generated content before use.
11.2 Copyright Responsibility:
You are solely responsible for ensuring that your use of AI-generated content does not infringe on any third-party intellectual property rights. We are not liable for any copyright infringement claims arising from your use of content generated on our platform.
12. Service Availability and Downtime
We strive to maintain 24/7 platform availability. In the event of service downtime, we will notify affected users promptly and work to restore service within the same hour. However, we do not guarantee uninterrupted access and are not liable for any losses resulting from service interruptions, scheduled maintenance, or technical failures.
13. Data Deletion
Upon request or account deletion, all your personal data, including generated content, uploaded materials, and account information, will be permanently deleted from our databases within 30 days. Backup copies may be retained for up to 90 days for disaster recovery purposes.
14. Disclaimers and Limitations of Liability
14.1 "As Is" Basis:
Contease is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
14.2 Limitation of Liability:
To the maximum extent permitted by Nigerian law, ContentAI Hub LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: (a) your use or inability to use our services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our platform; (d) any bugs, viruses, or other harmful code transmitted through our services; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the services.
In no event shall our aggregate liability exceed the amount you paid to us in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless ContentAI Hub LTD, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with: (a) your access to or use of Contease; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you create, upload, or share on our platform.
16. Dispute Resolution and Arbitration
16.1 Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
16.2 Informal Resolution:
Before initiating arbitration or litigation, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will work with you in good faith to reach a mutually acceptable resolution.
16.3 Binding Arbitration:
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be finally resolved by binding arbitration under the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted in Lagos, Nigeria, in the English language by a single arbitrator appointed in accordance with said Act. The arbitrator's decision shall be final and binding on both parties.
17. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 48 hours' advance notice via email to your registered email address and through an in-app notification. Your continued use of Contease after the notice period constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using our services and may request account deletion.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ContentAI Hub LTD regarding your use of Contease and supersede all prior agreements and understandings.
